Yes. You can go through the formation process and become a shareholder while in Japan as a Temporary Visitor. What you cannot do on that status is continuously manage the company or perform paid work. Owning shares, yes. Running the company is the separate question. The purpose of student status is study, so actively managing a business under it falls outside what that status contemplates. If the activity goes beyond what your current status permits, a change of status needs considering rather than simply incorporating first.株式や持分の保有は可能です。経営となると別問題です。留学の在留資格は学業を目的とするため、その下で積極的に会社を経営することは想定されていません。実際の活動が現在の資格で認められる範囲を超える場合は、まず設立するのではなく在留資格の変更を検討すべきです。

You can hold shares. Dependent status is not intended for running a company. The often-quoted 28 hours per week is not automatic either: it requires separate Permission to Engage in Activity Other Than That Permitted, and any work must stay within that permission. Yes, you can hold shares. But holding an interest as an investor and directly managing that company are different. Work statuses have a defined scope of permitted activity, so if you take on management duties outside that scope, a change of status or additional permission needs considering.
